Older version VS projects can be upgraded to VS 2005 version using /upgrade switch with devenv.
If conversion fails and error is not distinguishable .. just check that project files are not read only as that’s the common mistake when working with version control tools.
The error will be ‘Upgarde failed for one or more projects’
